Terms of Service

1. Agreement to Terms
By accessing the website at avexahq.com or utilizing the virtual assistant services provided by AvexaHQ ("Company," "we," "us," "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Services Provided
AvexaHQ acts as a B2B agency connecting clients with skilled virtual assistants (VAs). The specific scope of work, deliverables, and working hours will be agreed upon in writing via a separate Service Agreement (or Statement of Work) before the commencement of services.
3. Client Responsibilities
To ensure the best possible service, the Client agrees to:
- Provide clear instructions, necessary access to tools, and timely feedback to the assigned VA.
- Maintain communication during agreed-upon working hours.
- Not request VAs to perform illegal, unethical, or highly hazardous activities.
- Directly manage the day-to-day tasks of the assigned VA unless managed services are explicitly contracted.
4. Payment Terms
Invoices for services are issued in advance or on a regular billing cycle as defined in your specific Service Agreement. Payment is due upon receipt unless otherwise stated. Failure to render payment may result in the suspension of services and withdrawal of VA support until the account is settled.
5. Confidentiality and Non-Disclosure
We take confidentiality seriously. AvexaHQ and its VAs agree to maintain the strict confidentiality of all proprietary information, trade secrets, and client data shared during the course of the engagement. A separate Non-Disclosure Agreement (NDA) can be provided and signed upon request.
6. Non-Solicitation
During the term of this agreement and for a period of twelve (12) months following its termination, the Client agrees not to directly or indirectly solicit, hire, or engage any AvexaHQ VA independently without prior written consent from AvexaHQ and the payment of a placement fee.
7. Intellectual Property
All work produced by the VA during billable hours for the Client shall be considered "work made for hire." Upon full payment of all outstanding invoices, the Client retains full intellectual property rights to the completed work.
8. Limitation of Liability
AvexaHQ makes every effort to vet and train our virtual assistants; however, we do not guarantee specific business outcomes. In no event shall AvexaHQ be liable for any indirect, incidental, special, or consequential damages arising out of the use of our services.
9. Termination
Either party may terminate the Service Agreement by providing written notice as specified in the individual contract (typically 14 to 30 days). Upon termination, the Client must pay for all services rendered up to the date of termination.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of the Philippines.
